Maxime Aubert EI — SIRET 10796711900010
2 Rue de l’Alizé, 95610 Éragny-sur-Oise, France
Article 1 — Purpose and scope
These terms of service (the “Terms”) govern the contractual relationship between Maxime Aubert EI (the “Provider”) and any individual or legal entity (the “Client”) ordering services: website creation, application development, process automation, consulting, training and maintenance.
Placing an order constitutes unconditional acceptance of these Terms, which take precedence over any Client document. They are provided with each quote and are available at maximeaubert.fr.
Article 2 — Quotes and formation of the contract
Each service is subject to a free quote detailing the scope, price and schedule. The quote is valid for 30 days from its issue date.
The contract is formed upon receipt of the dated quote, signed by the Client with the wording “Bon pour accord” (accepted and agreed), together with payment of the deposit specified in Article 4. Any service not included in the quote requires a written amendment.
Article 3 — Prices
Prices are stated in euros. VAT is not applicable under Article 293 B of the French General Tax Code: the Provider does not charge VAT under the French small-business VAT exemption scheme. Prices are net.
Third-party costs (domain names, hosting, licences, paid CMS platforms, email or booking tools, etc.) are not included. Unless otherwise agreed in writing, these services are contracted and paid for directly by the Client with the relevant providers.
Article 4 — Payment terms
Unless the quote states otherwise:
- A 30% deposit is payable on order and must be received before work starts;
- The balance is payable on delivery, before launch or handover of the deliverables.
Invoices are payable within 30 days of receipt.
Late payment (business Clients). Any amount unpaid by its due date automatically incurs late-payment interest, without formal notice, at three times the statutory interest rate, plus a fixed €40 recovery charge (Articles L441-10 and D441-5 of the French Commercial Code). No discount is offered for early payment.
Suspension. In the event of non-payment, the Provider may suspend the ongoing service and, where applicable, publication, after informing the Client. This does not entitle the Client to compensation.
Article 5 — Delivery times
The times stated in the quote are indicative and run from receipt of the deposit and all necessary materials (content, access and approvals). The Provider is subject to an obligation of reasonable care and skill (obligation de moyens). A delay does not give grounds for cancellation, withholding payment or compensation.
Article 6 — Client obligations
The Client undertakes to:
- provide all necessary content (text, images and logos), access and information in good time, and warrant that they hold the relevant rights;
- appoint a single point of contact and approve stages within a reasonable time;
- cooperate in good faith.
Delays attributable to the Client. If the required materials are not provided, the project is suspended. After 30 days without a response from the Client, the Provider may invoice the work completed to date and close the project.
Article 7 — Changes and revisions
The quote specifies the number of revision rounds included (by default, two rounds per stage). Additional requests or changes to the original scope require an amendment charged at the applicable rate (fixed fee, daily rate or hourly rate, depending on the request).
Article 8 — Delivery and acceptance
On delivery, the Client has 7 days to check compliance with the quote and report any non-conformities in writing. After this period, or if the Client puts the deliverables into use, the service is deemed accepted. Corrections outside the agreed scope fall under Article 7.
Article 9 — Intellectual property
The Provider retains all intellectual property rights in the deliverables until full payment.
On full payment, the Provider transfers to the Client, on a non-exclusive basis (or exclusive basis if specified in the quote), the rights of reproduction and public communication in the deliverables for the use specified in the quote, for the statutory term of protection and worldwide. This transfer does not cover:
- third-party components (libraries, fonts, modules and licensed visuals), which remain governed by their own licences;
- the Provider’s methods, know-how, reusable code components and generic tools, which remain the Provider’s property and may be reused.
Unless the Client objects in writing, the Provider may refer to the work and the Client’s name in their portfolio and case studies, without disclosing confidential information.
Article 10 — Hosting and third-party services
Hosting, domain names and third-party services are contracted in the Client’s name. The Client retains ownership of and responsibility for these accounts. The Provider is not responsible for interruptions, failures or price changes affecting these services.
Article 11 — Maintenance
The service does not include maintenance beyond the conformity warranty period (Article 8), unless a separate maintenance package is purchased.
Article 12 — Liability
The Provider is subject to an obligation of reasonable care and skill (obligation de moyens). Liability is limited to direct, proven damage and may not exceed the amount actually paid by the Client for the service concerned. Indirect losses (including lost revenue, data, customers or reputation) are excluded.
The Provider is not responsible for content supplied by the Client, the use made of the deliverables or failures of third-party services.
These limitations apply to the extent permitted by law and do not reduce the rights of consumer Clients under mandatory provisions of the French Consumer Code.
Article 13 — Confidentiality
Each party undertakes to keep the other party’s non-public information confidential throughout the contract and for 2 years after it ends.
Article 14 — Personal data
For its own processing activities (client relationship management and invoicing), the Provider acts as a data controller under the GDPR.
Where the service involves processing personal data on behalf of the Client, the Provider acts as a processor. A data processing agreement (DPA) complying with Article 28 of the GDPR is then entered into between the parties.
Article 15 — Right of withdrawal (consumer Clients)
Under Articles L221-18 et seq. of the French Consumer Code, a consumer Client (or a business with fewer than 5 employees acting outside its main business activity) has 14 days from conclusion of the contract to withdraw without giving a reason, by emailing contact@maximeaubert.fr or using the standard form attached to the quote.
If the Client expressly requests that work begin before this period ends (Article L221-25), they remain liable for the work completed up to the date of withdrawal. Full performance of the service before the period ends, at the Client’s express request, results in the loss of the right of withdrawal (Article L221-28).
Article 16 — Termination
If a material breach by either party is not remedied within 15 days of formal notice, the other party may terminate the contract. Payment for work completed to date remains due to the Provider.
Article 17 — Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code. Obligations are suspended for the duration of the event.
Article 18 — Mediation and disputes
Consumer Clients. In the event of an unresolved dispute, the Client may use the European online dispute resolution platform.
Business Clients. If no amicable resolution is reached, disputes fall within the jurisdiction of the competent courts for the Provider’s registered address.
These Terms are governed by French law.
